1. Acceptance of Terms

These Terms of Use ("Terms") regulate the utilization of websites managed by or on behalf of Miles Per Hour Inc. ("MPH," "we," or "us," and/or our affiliates and subsidiaries).

These Terms are significant and have an impact on your legal rights; therefore, please read them thoroughly. Please note that Section 15 of these Terms includes an obligatory arbitration provision, requiring the use of arbitration on an individual basis and limiting the remedies available to you in the event of specific disputes.

By accessing or using mph.com (occasionally referred to as the "Site") and our related websites and services, including, without restriction, the underlying software and data (together, the "MPH Services"), you agree to be bound by these Terms and all terms that are incorporated herein by reference.

You must be 18 years of age or older to use the MPH Services. By accepting these Terms, you represent that you have legal authority to do so. If you have accepted these Terms on behalf of any person or entity, you represent that you have legal authority to do so and that such person or entity agrees to be held accountable if you or that person or entity violates these Terms. If you do not accept every provision of these Terms, you may not access or use the MPH Services, and we do not authorize you to do so.

By accessing or using the MPH Services, you confirm and guarantee that you have not previously been suspended or removed from the MPH Services or involved in any activity that could result in suspension or removal from the MPH Services.

We reserve the right to modify these Terms at any time for any reason and may notify you of these changes through any reasonable means, including through the MPH Services. You can determine the last time we updated these Terms by referring to the "Last Updated" legend at the top of these Terms. Unless your explicit consent to any revised Terms is required under applicable law, you agree to any revised Terms by continuing to access, browse, or use the MPH Services. If you do not agree to any revised Terms, you may not access or use the MPH Services, and we do not authorize you to do so. We strongly advise you to visit this page periodically to review these Terms.

To list, sell or purchase on the Site, you must register with MPH. To register, you must create an account and provide your real name, address, phone number, and email address.

By listing an item on the Site, you authorize mph.com to charge your credit card for amounts due. All fees are in U.S. Dollars unless stated otherwise.

2. Role of MPH

2.1 Venue for 3^rd Party Buyers and Sellers

Notwithstanding the provisions of Section 2.2 and Section 3, it is acknowledged and agreed that MPH operates as a platform for third party sellers ("3rd Party Sellers") and third party buyers ("Buyers") of vehicles to engage in transactions ("3rd Party Transactions") via the MPH Services. MPH shall not be held responsible for any 3rd Party Transactions except in its capacity as a seller or buyer as described in Section 2.2 and Section 3 ("MPH Transactions"). MPH is not an agent of any 3rd Party Sellers or Buyers in connection with 3rd Party Transactions and does not possess any authority for any purpose relating to such transactions. MPH disclaims any responsibility and liability regarding the quality, safety, legality, or description of items advertised or sold by 3rd Party Sellers via the MPH Services, given that it has no control over the same.

With respect to 3rd Party Transactions, MPH disclaims any responsibility and liability regarding any 3rd Party Seller listing, including its accuracy, completeness, misleading or deceptive nature, and specifically disclaims all representations and liabilities relating thereto. Furthermore, MPH has no control over the ability of 3rd Party Sellers to sell any listed items or the ability of Buyers to purchase any 3rd Party Seller items, and does not guarantee that any Buyer or 3rd Party Seller will receive payment for or shipment of any item related to a 3rd Party Transaction. Both Buyers and 3rd Party Sellers engaged in 3rd Party Transactions acknowledge that MPH is under no obligation to ensure the performance of any obligation of any party to such transaction. It is advised that caution be exercised when entering into any agreement with a 3rd Party Seller, and the use of a third-party escrow agent may be considered to provide protection in 3rd Party Transactions. Participants in 3rd Party Transactions must comply with these Terms and all applicable U.S. and foreign laws, rules, and regulations.

2.2 MPH as Buyer or Seller

Through the act of partaking in a MPH Transactions, MPH retains the right to act as either a purchaser and/or vendor in said transaction. In the event that MPH is involved in a MPH Transactions, it shall be regulated by the terms and conditions expounded upon in Section 5 as stated below.

3. User Registration

In order to access and utilize certain areas or features of the MPH Services, it may be necessary for you to provide specific information and/or respond to particular inquiries. Each registration is intended for use by a single user only. By utilizing the MPH Services, you agree to (a) provide precise, current, and comprehensive information, (b) keep your information up-to-date and make updates promptly, as needed, (c) accept responsibility for the actions or omissions of any third party who is authorized to use or access the MPH Services on your behalf, and (d) notify us immediately if you identify or suspect any security breaches related to the MPH Services. If you furnish information that is false, inaccurate, outdated, or incomplete, we reserve the right to suspend and/or terminate your current or future use of the MPH Services.

In providing information and/or responding to inquiries, you also consent to accept electronic communications from MPH (e.g. via email or by posting notices to the MPH Services). It is recommended that you maintain copies of electronic communications from us by printing a paper copy or saving an electronic copy. Additionally, we may send promotional communications to you via email, including, but not limited to, newsletters, special offers, surveys, and other news and information that we believe will be of interest to you. You may opt-out of receiving these promotional emails at any time by following the provided unsubscribe instructions.

4. Right to Use and Access MPH Services and Content

The MPH Services, including all content and materials contained therein (collectively, the "Content"), are the property of MPH or its licensors and are protected by U.S. and international copyright and other laws. Unless otherwise indicated in writing by us, you are hereby granted a limited personal, revocable, non-exclusive, non-transferable, non-sublicensable right to access, view and make personal, non-commercial use of MPH Services and Content, subject to these Terms. All rights not expressly granted herein are reserved. You do not acquire any ownership interest in MPH Services or Content under these Terms, or any other rights thereto other than to use MPH Services in accordance with the right granted, and subject to all terms, conditions and restrictions of these Terms.

You may not sell, resell or use commercially MPH Services or Content; distribute, publicly perform or publicly display MPH Services or any Content; modify or otherwise make any derivative uses of MPH Services or Content, or any portion thereof; use any data mining, robots or similar data gathering or extraction methods; download (other than page caching) any portion of MPH Services or Content, except as expressly permitted by us; use MPH Services to stalk, threaten, or otherwise violate the rights of others, including, without limitation, others’ privacy rights or rights of publicity; interfere with MPH Services or servers or networks used in connection with MPH Services; or use MPH Services or Content other than for their intended purposes.

Any use of MPH Services or Content other than as specifically authorized herein, without our prior written permission, is strictly prohibited and will entitle us to terminate your right of access and use granted herein. Such unauthorized use may also violate applicable laws, including, without limitation, copyright and trademark laws and applicable communications regulations and statutes.

Except as expressly permitted herein, nothing in these Terms shall be construed as conferring any right or license to any patent, trademark, copyright or other proprietary rights of MPH or any third party, whether by estoppel, implication or otherwise.

You will not remove, alter or conceal any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying any Content and you will not reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit any Content.

We reserve the right in our sole discretion to modify, suspend or discontinue, temporarily or permanently, MPH Services (or any features or parts thereof) at any time. We retain all rights permitted by law or otherwise including, without limitation, the right to immediately halt any listing or deny, restrict or terminate your access to the Site or the MPH Services in our sole and absolute discretion (with or without cause or reason) including, without limitation, if you engage in any of the illegal or prohibited activities enumerated in these Terms. We also retain the right to delete any listing or other information, in our sole and absolute discretion (with or without cause), including, without limitation, any such listing or other information that violates these Terms or is otherwise considered by us to be offensive or unacceptable.

5. Vehicle Sales, Purchases and Consignment

3.1 Purchasing a Vehicle through MPH Services

In the event that you have an interest in procuring a vehicle from MPH by means of MPH Services, it is understood that you shall be obligated to consent to the vehicle sale agreement that is obtainable at Purchase Agreement

3.2 Selling a Vehicle through MPH Services

In the event that you intend to sell a vehicle to MPH through the use of MPH Services, you acknowledge and agree that you shall be obligated to accept and abide by the purchase terms and conditions, as well as the international purchase terms and conditions, if they are applicable, which is obtainable at: Sales Agreement

3.3 Sale & Use Taxes

It is acknowledged and agreed that the Buyers and 3rd Party Sellers are solely responsible for ascertaining whether any taxes, including but not limited to sales, use, or luxury taxes, are applicable to any 3rd Party Transactions, and for collecting, reporting and remitting the appropriate tax to the relevant tax authority. Furthermore, it is understood and agreed that MPH is not obliged to identify whether taxes, including but not limited to sales, use, or luxury taxes, are applicable to any 3rd Party Transaction, and shall not be held liable for collecting, remitting or reporting any such taxes that may arise from any such transaction.

6. Trademarks

The MPH logo and all other MPH product or service names, trademarks, logos, or other identifying features ("Marks") that may be present on MPH Services are the exclusive property of MPH, its subsidiaries, affiliates, or third parties, and may not be replicated, mimicked, or employed, either in part or in full, without our prior written consent. Nothing within these Terms and/or MPH Services shall be interpreted as granting, whether by implication or otherwise, any license or authority to use any of the aforementioned Marks without the prior written authorization of MPH or the relevant third party that possesses ownership of such Marks. The unsanctioned use of these Marks in any way that is likely to cause confusion among consumers or dilution of these Marks is strictly prohibited.

7. Legal Requirements; Privacy Policy

Our Privacy Policy elucidates the manner in which we administer the personal information that you furnish to us in the course of utilizing MPH Services. For a clarification of our privacy protocols, kindly refer to our Privacy Policy which can be found at https://www.mph.com/privacy.

8. User Content

As the user of MPH Services, you are solely responsible and liable for all data, information, and other materials ("User Content") that you submit, upload, post, e-mail, or otherwise transmit ("Transmit"). We hereby inform you that we do not have any control over, and shall not be held liable for any damages resulting from the use, including without limitation, republication, or misuse by any third party of information made public through MPH Services.

In the event that you choose to submit or otherwise make any User Content publicly available, you do so at your own risk. We shall have no liability in this regard. You are hereby restricted to using the Site and MPH Services in a lawful manner for lawful purposes only. As such, you agree to comply with all applicable laws, statutes, and regulations regarding the use of MPH Services, including listing, purchasing, and soliciting offers to purchase.

Furthermore, you agree not to engage in any of the following prohibited activities:

As a user of MPH Services, you are bound by the following terms and conditions. You shall not engage in any of the following prohibited activities:

1. You shall not provide false information during registration or use an invalid or unauthorized credit card.

2. You shall not impersonate any person or entity or represent yourself under a false name.

3. You shall not use another person's or entity's password(s).

4. You shall not list, post, or transmit any item, link or material that infringes the rights of any third-party, including but not limited to contractual rights or intellectual property rights such as copyrights, trademarks, patents, trade secrets, or other proprietary rights, including rights to publicity or privacy.

5. You shall not list, post or transmit any item that is counterfeited, illegal, stolen, or fraudulent.

6. You shall not list, post, or transmit any information that violates any privacy-related right belonging to any person or entity under U.S. or foreign laws, rules or regulations.

7. You shall not list, post or transmit any information that could be construed as false or defamatory with respect to any person or entity or their respective products or services.

8. You shall not list or post any links to commercial or private web sites for the purpose of advertising non-MPH Services unless expressly authorized by MPH.

9. You shall not list, post, or transmit any information that could be construed as constituting evidence of, or an element of, collusion, monopolization, predatory conduct or pricing, a refusal to deal, below-cost sales, price squeezing or any other violations of any U.S. or foreign laws, rules or regulations prohibiting antitrust or anti-competitive activities or unfair trade practices.

10. You shall not manipulate the price of any item.

11. You shall not list, post, or transmit any unsolicited advertising or promotional materials or other forms of solicitation.

12. You shall not use the Site or the MPH Services to harass, threaten, abuse, embarrass or cause distress, unwanted attention or discomfort to any other person or entity.

13. You shall not disrupt, in any manner, the normal flow of the Site or the MPH Services, or otherwise interfere with any other person's or entity's use of the Site or the MPH Services.

14. You shall not list, post, or transmit any information that contains any viruses, Trojan horses, worms, time bombs, cancel bots or other computer programs or files that are designed to damage, interrupt or surreptitiously intercept any system, data, or personal information.

15. You shall not compile the personal data of any other user of the Site or MPH Services, except to the extent necessary to complete a Third-Party Transaction.

You, as a user of MPH Services, hereby agree that you shall not, directly or indirectly, engage in any of the following activities:

(a) Transmit User Content that is unlawful, harmful, threatening, abusive, hateful, obscene, harassing, tortious, defamatory, libelous, slanderous, pornographic, profane, vulgar, offensive, lewd, invasive of another’s privacy or racially, ethnically or otherwise objectionable;

(b) Transmit User Content that:

(i) You do not have the right to transmit under any law or contractual or fiduciary relationships, including, without limitation, any inside information or proprietary or confidential information;

(ii) Infringes any patent, copyright, trademark or other intellectual property right or misappropriates any trade secret or right of privacy of any third-party;

(iii) Constitutes unsolicited or unauthorized advertising or promotional materials, "spam," "chain letters," or pyramid schemes; or

(iv) Contains any software routine, code, instruction or virus that is designed to disable, delete, modify, damage or erase software, hardware or data; or

(c) Forge headers or otherwise manipulate identifiers in order to disguise any User Content Transmitted through MPH Services.

While we hold no obligation to screen, edit, or monitor User Content, we retain the right to remove, screen, or edit any User Content posted or stored on MPH Services at any given time and for any reason, as we have absolute discretion in this regard. It is your responsibility as the user to create backup copies of and replace any User Content you post or store on MPH Services at your sole cost and expense.

You understand and agree that any violation of these terms and conditions may result in the termination of your use of MPH Services and may also subject you to civil and/or criminal liability.

9. Rights in User Content

By uploading, posting, or submitting User Content to MPH Services or to our pages or feeds on third-party social media platforms, you hereby grant MPH a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and fully sublicensable right and license to utilize, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and publicly display your User Content, in whole or in part, in any manner or media and for any purpose whatsoever at our sole discretion, including, without limitation, for publicity, promotional, advertising, trade, business, illustration, artistic, and other commercial and non-commercial purposes. However, MPH will only share personal information that you provide in accordance with our Privacy Policy.

You agree that MPH may disclose or use any User Content for any purposes permitted under applicable law, including, but not limited to: (a) enforcing these Terms; (b) complying with any laws, regulations, or rules of any federal, state, local, or foreign government or agency; (c) responding to claims that any User Content violates the rights of third parties; or (d) protecting the rights or property of MPH, its customers, or the public. Despite the foregoing, we do not claim any ownership interest in User Content.

10. Feedback

In addition to User Content, you may provide MPH with questions, comments, suggestions, ideas, original or creative materials, or other information regarding MPH or MPH Services (collectively known as "Feedback"). You acknowledge and agree that any Feedback you provide shall become the sole property of MPH, and MPH shall own all rights, including, but not limited to, all intellectual property rights, in and to such Feedback. MPH is entitled to unrestricted use and dissemination of Feedback for any purpose, commercial or otherwise, without acknowledging or compensating you.

11. Third-Party Sites

We have not reviewed all the websites linked to MPH Services and shall not be held responsible for the contents of any third-party pages or other websites linked to MPH Services, or any products or services offered by third parties. Nothing in MPH Services, including links to other websites, should be interpreted as an endorsement by MPH of any products, services, or information provided by other companies or individuals. Your decision to access a link to any other website is at your own risk, and you agree to comply with all terms and conditions relating to such websites. MPH reserves the right to remove or decline to link to a particular website at any time.

Links to third-party websites are provided solely for your convenience, and MPH does not own or operate such linked websites and makes no representations or warranties concerning these linked websites or third-party products or services. Your access and use of any third-party websites are at your sole discretion and risk.

12.Indemnification

You agree to indemnify, defend, and hold MPH, its affiliates, and subsidiaries, their respective shareholders, members, directors, managers, officers, employees, agents, and contractors harmless from and against any and all losses, damages, liabilities, and costs, including but not limited to reasonable attorneys' fees (collectively referred to as "Losses"), arising from any third-party claim, suit, action, or proceeding relating to or resulting from your use of MPH Services, any User Content you transmit to or through MPH Services, any Feedback you provide, any violation of these Terms by you, or any other act or omission by you, including any violation of another's rights, arising from your use of MPH Services or any of its features. You acknowledge and agree that MPH shall have the option to require you to defend it or the other parties involved. Furthermore, you agree that MPH shall have control of the defense or settlement of any third-party claims, unless MPH exercises its option to require you to defend it or the other parties involved. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and MPH.

13. General Disclaimers

MPH Services and content are provided to you on an "as is," "as available," and "with all faults" basis. To the fullest extent permissible by law, MPH does not make any representations or warranties or endorsements of any kind whatsoever, express or implied, as to: (A) MPH Services; (B) Content; (C) User Content; or (D) security associated with the transmission of information to or from MPH Services. MPH hereby disclaims all warranties, express or implied, including, but not limited to, the warranties of merchantability, fitness for a particular purpose, that any results will be achieved, non-infringement, title, custom, trade, quiet enjoyment, system integration, and freedom from computer virus.

MPH does not represent or warrant that MPH Services will be error-free or uninterrupted; that defects will be corrected; or that MPH Services or the servers that make MPH Services available are free from any harmful components, including, without limitation, viruses. MPH does not make any representations or warranties that the information (including any instructions) on MPH Services is accurate, complete, or useful. You acknowledge that your use of MPH Services is at your sole risk.

MPH specifically disclaims all warranties that your use of MPH services is lawful in any particular jurisdiction. Some jurisdictions limit or do not allow the disclaimer of implied or other warranties so the above disclaimer may not apply to you to the extent such jurisdiction's law is applicable to you and these terms.

By accessing or using MPH Services, you represent and warrant that your activities are lawful in every jurisdiction where you access or use MPH Services.

MPH is not, and will not be deemed to be, involved in any third-party transactions between buyers and third-party sellers. If a dispute arises between the parties to any third-party transaction, each party to such transaction, in consideration for their use of this site, unconditionally releases MPH (and its affiliated companies and our and their respective shareholders, members, directors, managers, officers, employees, agents and contractors) from any and all claims, demands, damages, costs and expenses (including both actual and consequential damages) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with any such disputes.

14. Limitation of Liability; Waiver

The following limitations of liability apply to the fullest extent permitted by law. MPH shall not be liable for any indirect, special, incidental, or consequential damages of any kind, including but not limited to loss of revenue, income or profits, loss of use or data, loss or diminution in value of assets or securities, or damages for business interruption arising out of or in any way related to the access to or use of MPH services, including user content, and links to third-party websites or the order, receipt or use of any product or service, or otherwise related to these terms, including damages caused by or resulting from reliance on any information obtained from MPH or from events beyond MPH’s reasonable control, regardless of the form of action, whether based in contract, tort (including but not limited to simple negligence, whether active, passive or imputed), or any other legal or equitable theory, even if MPH has been advised of the possibility of such damages and regardless of whether such damages were foreseeable.

To the fullest extent permitted by applicable law, in no event shall the maximum aggregate liability of MPH arising out of or in any way related to MPH services exceed one hundred U.S. dollars (U.S. $100). The foregoing limitations shall apply even in the event your remedies hereunder fail of their essential purpose and shall constitute MPH’s sole liability and obligation in respect thereof.

If you are a California resident, you hereby waive your rights under California Civil Code 1542, which states “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

15. Arbitration

PLEASE READ THE FOLLOWING SECTION CAREFULLY AS IT CONTAINS IMPORTANT INFORMATION REGARDING THE RESOLUTION OF DISPUTES BETWEEN YOU AND MPH.

YOU AND MPH AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY RELATED TO THESE TERMS OR MPH SERVICES SHALL BE RESOLVED THROUGH BINDING ARBITRATION UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION GOVERNING CONSUMER DISPUTES. ARBITRATION INVOLVES THE USE OF A SINGLE, NEUTRAL ARBITRATOR TO DECIDE A DISPUTE, RATHER THAN A JUDGE OR JURY. ARBITRATION ALLOWS FOR LIMITED DISCOVERY COMPARED TO COURT PROCEEDINGS, AND THE RESULTING DECISION IS SUBJECT TO LIMITED REVIEW BY COURTS. YOU HAVE THE RIGHT TO BE REPRESENTED BY AN ATTORNEY OF YOUR CHOICE, AT YOUR OWN EXPENSE. ARBITRATORS MAY AWARD THE SAME DAMAGES AND RELIEF AS A COURT. YOU AND MPH AGREE THAT ANY IN-PERSON ARBITRAL HEARING SHALL TAKE PLACE IN THE STATE OF DELAWARE.

BY AGREEING TO THESE TERMS, YOU ALSO AGREE THAT THE U.S. FEDERAL ARBITRATION ACT GOVERNS THE INTERPRETATION AND ENFORCEMENT OF THIS ARBITRATION PROVISION. YOU AND MPH AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY AND/OR PARTICIPATE IN A CLASS ACTION. THIS ARBITRATION PROVISION SHALL REMAIN IN EFFECT EVEN IF THESE TERMS ARE TERMINATED OR YOUR USE OF MPH SERVICES IS TERMINATED. UNLESS BOTH YOU AND MPH AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS WITH YOUR CLAIMS OR PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

IF THIS ARBITRATION PROVISION IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THE ARBITRATION PROVISION SHALL BE NULL AND VOID. THE ARBITRATOR MAY ONLY AWARD DECLARATORY OR INJUNCTIVE RELIEF IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTY'S INDIVIDUAL CLAIM.

16. Class Action Waiver

You and MPH agree that, regardless of the forum, any claims brought against each other shall only be in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

17. Termination

Notwithstanding any provision in these Terms, we retain the discretion to terminate, with or without notice, your access or use of MPH Services at any time and for any reason, at our sole discretion. You acknowledge and agree that we shall not be liable or obligated to you in any manner in the event of such termination.

18. Governing Law and Jurisdiction

MPH conducts the operation of MPH Services from the state of Delaware, US. These Terms and all transactions contemplated herein, including interpretation, construction, performance, and enforcement, shall be governed by the laws of the state of Delaware, US, including applicable statutes of limitations, without regard to conflict or choice of law provisions. The International Convention on the Sale of Goods, and other international treaties that are not mandatory with respect to contracts made and entirely performed in Delaware shall not apply.

19. Notice

All notices, demands, or consents provided by you under these Terms shall be in writing and deemed given when delivered to MPH through the following contact: legal@mph.com.

Any notices to you may be transmitted either through e-mail or postal mail to the address specified in MPH's records or through posting on MPH Services. You agree that any notices, agreements, disclosures, or other communications that we offer to you electronically shall satisfy any legal communication requirements, including the necessity for such communications to be in writing. In the event that persons with disabilities require assistance in accessing these Terms, we shall be contacted as provided in this Section, and we shall furnish these Terms in an alternative format based on individual needs. Reasonable requests shall be granted.

20. Procedure for Making Claims of Copyright Infringement

21. Miscellaneous

In the event that any term, clause, or provision of these Terms is deemed invalid or unenforceable, said term, clause, or provision shall be separated from these Terms and will not affect the validity or enforceability of any remaining portion of that term, clause, or provision, nor any other term, clause, or provision of these Terms. The Services provided by MPH are hosted within the United States of America. If you are situated outside of the United States of America and you contact us, please be advised that any information you provide to us will be transferred to the United States of America. By submitting information, you expressly authorize such transfer. These Terms constitute the entire agreement between you and MPH regarding your access to and use of the Services provided by MPH. These Terms and any rights granted herein cannot be transferred or assigned by you without the prior written consent of MPH. MPH's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. No waiver of any provision of these Terms shall be deemed a waiver of such provision under any other circumstance, either prior, concurrent, or subsequent. These Terms are intended solely for the benefit of the parties involved and are not intended to grant third-party beneficiary rights to any individual or entity, except as otherwise specified herein.
